Online Credit Application

I hereby certify that I hold the Limited Sales Tax Permit number entered below, issued pursuant to the Limited Sales, Excise, and Use Tax Law, and that the tangible personal property described, or shown in the attached order or invoice, which I will purchase from WENCAR, INC. will be re-sold, rented, or leased by me in the form of tangible personal property. If I make any use of the property other than retention, demonstration, or display while holding it for sale, lease, or rental in the regular course of business, the use shall be taxable to me as of the time the property is first used, and the sales price of the property to me shall be deemed the measure of tax.

To: WENCAR, INC., Corpus Christi, Nueces County, TX.

I. For value received, the undersigned (Guarantor), jointly and severally, unconditionally guarantee and promise to pay Wencar, Inc. (Seller) any and all indebtedness incurred on or after the date of this application by reason of the purchase from Seller of groceries and other goods, materials, and services, under the terms and conditions including payment and rate of interest provided in this Customer Application.

II. This is a continuing guaranty and, until revoked as provided herein, shall cover all future indebtedness, including indebtedness arising under successive transactions.

III. The guaranty terminates upon delivery to Seller, at Corpus Christi, Nueces County, Texas, of written notice of termination, effective as to indebtedness incurred after such delivery.

IV. This Contract of Guaranty is performable in Corpus Christi, Nueces County, Texas, dated the date of this Customer Application.

Returned Checks: In the event of a returned check or EFT, Wencar, Inc. will require a Cashier's Check, Money Order, or Wire Transfer to cover it. A $60.00 returned check fee applies. Until guaranteed funds are received, the account is placed on hold and no orders will ship. Wencar, Inc. reserves the right to place the account on Cash Only or discontinue service.

Credit Policy: Must complete and be approved for a Wencar, Inc. application. Must meet and maintain a minimum of $650.00 non-cigarette purchases or a combined order of $2,500.00. All payments must be remitted by EFT (an EFT/ACH application must be completed). Maximum terms are 7 days depending on approval. If an EFT is returned unpaid, Wencar, Inc. reserves the right to place the account on a cash-only basis.

I acknowledge and agree that: (1) a late fee of $2.50 per day, to a maximum of $100.00, will be assessed on any past-due balance; (2) interest, not to exceed the maximum rate allowed by law, will be charged on past-due balances exceeding the seller's terms; (3) in the event of default and referral to an attorney or collection agency, I will pay all costs of collection, including reasonable attorney's fees; (4) if the type of ownership changes, I remain liable for all debts and obligations incurred; (5) if additional stores or locations are added at my request, the terms extend to those accounts; (6) only the Credit Manager of Wencar, Inc. may modify these terms in writing. The customer/debtor grants Wencar, Inc. a security interest, as defined in the Texas Uniform Commercial Code, in all inventory and proceeds now owned or hereafter acquired, to secure all indebtedness and obligations, including future advances and expenses of collection. I certify the information provided is complete and accurate, authorize Wencar, Inc. to contact the references listed, and agree this contract is performable and all bills payable in Corpus Christi, Nueces County, Texas.
